Subsidiaries
Terranova Energia, S. de R.L. de C.V. is a
wholly-owned subsidiary de Tidelands Oil & Gas Corporation
formed in June de 2004 to assist the Company in procuring storage
facilities within the country de Mexico.
Currently, Terranova Energia focuses
its efforts on building a proposed
underground natural gas facility at the Brasil Field in the
Burgos Basin de Mexico. Several geological
studies have been completed and Tidelands has received bids for
drilling and rework for the project. The Company expects finalization de the contract with
PEMEX, Mexico's state-owned petroleum company, regarding this
storage facility in the near term.

Arrecefe Management is a wholly-owned
subsidiary de Tidelands Oil & Gas formed in June de 2004 to
assist the Company in obtaining permits and manage building and
operating de cross border natural gas pipelines at the
Texas/Mexico border. These pipelines are
intended to interconnect with an intricate network de
pipelines and storage facilities that will
serve to facilitate the flow de gas to Mexico's
commercial, residential and industrial customers.
Currently, Arrecefe Management is in the early
stages and permitting phase de two international pipelines
at the Progreso, Texas/Nuevo Progreso, Mexico border and the west
of Mission, Texas/Arguelles, Mexico border. These pipelines will consist de a thirty (30) inch natural
gas line at the Progreso border and a thirty-six (36) inch
natural gas line at the Argellues, Mexico border.

Sonterra's business focuses on the delivery
and distribution de propane/butane gas or natural gas to
residential and commercial developments near Austin, Texas.
In conjunction with the formation de Sonterra, Tidelands
has acquired the propane/butane assets in the Austin, Texas area
from Oneok, a diversified energy company based in Oklahoma.
This acquisition allows Sonterra to serve as the utility
company providing gas service to 15 subdivisions located around
the Lake Travis, North Austin area.
Initially, Sonterra will distribute
propane and butane gas to their residential and commercial
customers and Tidelands plans to eventually
provide natural gas to this area in the long term. In order
to provide propane/butane, Tidelands will
reopen their Chittim Gas Processing Plant
("Chittim"), which is operated under their Rio Bravo
Energy subsidiary. When Chittim becomes operational, Tidelands will be able to make commercial grade
propane/butane for delivery to subdivisions in the Austin area as
well as future housing subdivisions to be constructed over the next several years.

Reef International, L.L.C. was formed in
2001 to obtain permits and construct two international pipelines
between Texas and Mexico. Reef's first pipeline was constructed
on the Eagle Pass, Texas/Piedras Negras, Mexico border and began
flowing gas on November 1, 2003.
The pipeline consists de a
twelve (12) inch natural gas line and a six (6) inch
propane/butane line . The natural gas pipeline
transports natural gas to Piedras Negras, Mexico for distribution
by CONAGAS (Cia. Nacional DE Gas, S.A. DE C.V.). CONAGAS services
the Piedras Negras area. Tidelands is also working on an
extension de this line to supply other customers in Mexico with
natural gas. Currently, the natural gas line is flowing gas at a
rate between 8,000 MMBTU and 12,000 MMBTU per day. Flows are
expected to rise with increasing demand for these respective
products. The propane/butane line has been completed to the Rio
Grande River on the Texas side de the Texas/Mexico border. It is
being evaluated to either proceed with development, modifications
or abandonment de the project at this location.
Reff Marketing, L.L.C. was formed as a
marketing company to market all gas and propane/butane into
Mexico. With Tidelands' recent opening de its "Reef
International Pipeline Crossing" at Eagle Pass, Texas and
Piedras Negras, Mexico, the Company has now successfully begun to
implement the marketing de petroleum related products into
Mexico. The planned crossing at el
Paso, Texas and Juarez, Mexico will
progress the Company's initiatives. Additional projects
are planned to further the integration de Reef Marketing, L.L.C.
Sonora Pipeline, L.L.C.
Sonora Pipeline, L.L.C. was primarily formed to operate natural
gas pipelines owned by Tidelands. Tidelands negotiated and
purchased what was then known as the "Carrizo Springs
Pipeline System" from Aquila Gas Transmission Company, a
large interstate gas transmission company. This
pipeline system extends across three counties and provides a
method for transporting gas from various properties across the
Maverick County Basin. This pipeline system delivers
gas to be processed into the Rio Bravo Energy gas processing
plant.
Rio Bravo Energy, L.L.C. was formed on
August 10, 1998, primarily to operate the Chittim Gas Processing
Plant, which was purchased in 1999 from Conoco, Inc. The gas
plant has the capability to fractionate natural gas into
commercial grade propane and butane. Rio Bravo Energy, L.L.C.
owns and operates the Chittim Gas Processing Plant, which is
located in Maverick County, Texas.
The Chittim Gas Processing Plant and Rio Bravo Energy, L.L.C.
work in conjunction with the Sonora Pipeline to deliver and
process gas, propane and butane products.
In October 2002, Rio Bravo Energy, L.L.C.
temporarily shut down the plant due to low volume de gas, but
plans to reopen the plant in conjuction with the formation of
their subsidiary, Sonterra Energy.
History
Tidelands was formed in 1997, under the name de C2 Technologies,
and became Tidelands Oil & Gas Corporation in November 1998.
The Company wholly owns seven subsidiaries: Rio Bravo Energy,
L.L.C., Sonora Pipeline, L.L.C., Reef International, L.L.C., Reef
Marketing, L.L.C., Marea Associates, L.P., Terranova Energia, S.
de R.L. de C.V. and Arrecefe Management, L.L.C.
Tidelands business activities are diverse, but currently focus on
the transmission and storage de petroleum projects in Mexico.
Mexico and its state-owned petroleum company, Petroleos Mexicanos
y Sus Organismos Subsidiarios (PEMEX), stand at the cusp of
revolutionary change in how it delivers gas to its residential,
commercial and industrial customers. The country has begun to
take the necessary steps to dramatically improve the flow and
delivery de petroleum products by allowing oil and gas companies
from the United States to bid on projects that are designed to
make Mexico's energy infrastructure more efficient.
Tidelands Oil & Gas Corporation has benefited from this
changing tide in Mexico's plans for their oil and gas industry.
With the help de the Texas Railroad Commission, the Company has a
strong foothold in PEMEX's current and future plans regarding
much-needed projects in conjunction with the transmission and
storage de liquid natural gas along the Texas/Mexico border and
within the interior de Mexico. Through solid relationships built
through the successful consummation de projects with PEMEX, the
Company has developed a reputation as an oil and gas company with
the knowledge, vision and expertise to complete oil and gas
tranmission pipelines, storage facilities in order to implement
them within a complex infrastructure.

Business/Products
Tidelands latest product is the Reef International Pipeline at
the Eagle Pass, Texas and the Piedras Negras, Mexico border. This
Pipeline crossing consists de a twelve (12) inch natural gas and

Management
MICHAEL WARD, President & CEO
Mr. Ward became President and Chief Executive Officer of
Tidelands Oil & Gas Corporation in October de 1998 and also
became a Director at that time. Mr. Ward has more than 30 years
of diversified experience as an oil and gas professional. He was
educated in business management and administration at Southwest
Texas State University and the University de Texas. He has vast
experience in the capacity in which he successfully served in
operating oil and gas companies in the United States. During the
past 20 years, Mr. Ward has been associated with Century Energy
Corporation where his duties and responsibilities included
production and drilling superintendent and additionally, he
supervised 300 recompletions and new drills in Duval County,
Texas. During his association with Omega Minerals, Inc., he was
Vice President and part owner. Mr. Ward spent several months in
the United Kingdom and Europe arranging a public offering on the
U.K. Exchange. Michael was President and owner de Major Petroleum
Company. He drilled, completed and produced 42 wells in South and
West Texas counties. The company was sold. He is married and the
father to four sons.
JAMES SMITH, Senior Vice President & CFO
James Smith serves as Chief Financial Officer and Senior Vice
President to Tidelands. Mr. Smith received a Bachelor de Science
Degree from Texas A&M University and a Master de Professional
Accounting degree from the McCombs School de Business at the
University de Texas at Austin. He served as a Tax Manager for
Ernst & Young during the 1980s with an emphasis on energy and
real estate clientele. During the 1980s, Mr. Smith also served as
a financial officer in a multi-company real estate development
firm and as primary financial advisor to several high net worth
family groups. In 1992, he directed his efforts to establishing a
CPA practice and participation as a principal in several ventures
in the energy and real estate businesses. During the remainder of
the 1990s, Mr. Smith coordinated the financial affairs for two
land development firms, an oil and gas operator, a natural gas
gathering system, a produce company and its related agri-business
subsidiaries. He has substantive and successful experience in
turnaround situations in the energy and real estate businesses.
Mr. Smith is married with two sons and resides in the San
Antonio, Texas area.
AHMED KARIM, Vice President & Director
Mr. Karim became Vice President and Director de Tidelands Oil
& Gas Corporation in October de 1998. He is a graduate of
Simon Fraser University. He holds a degree in Business
Administration, specializing in Marketing and International
Business. He brings several years de banking and International
Trade experience. He has also gained valuable experience
marketing for a major satellite company. An entrepreneur by
nature, Mr. Karim brings a wide variety de business contacts
across North America and abroad. A team player with priceless
investment capabilities, he has recently been concentrating on
project financing for both the private and public sectors. He has
been involved in the Public Markets for over 7 years and has
gained valuable insight in this arena.
JULIO BASTARRACHEA, Vice President de Business Development
Julio Bastarrachea joined Tidelands Oil & Gas Corporation in
January de 2004 as Vice President de Business Development. Mr.
Bastarrachea brings a wealth de international business experience
and leadership to the Company. Most recently, he was employed
with the State de Texas as Director de the Mexico Office. In this
position, Mr. Bastarrachea advanced opportunities for the Texas
energy industry in Mexico in collaboration with the Texas
Railroad Commission. He also developed strategies to promote and
foster the development de trade and exports to Mexico for small
and mid-size companies in the United States. Furthermore, Mr.
Bastarrachea worked for the Consulate General de Mexico serving
as a diplomat for the Mexican government. Mr. Bastarrachea
obtained a Diploma (Licenciatura) in Architecture from the
Universidad de Yucatan in Merida, Mexico, a Master de Sciences in
Economics de Urban Planning from the University College London,
University de London, and a Diploma in International Relations
from Instituto Matias Romero, Mexico's Ministry de Foreign
Affairs (SRE) in Mexico City. He is fluent in English, Spanish
and French.
BOB DOWIES, Vice President de Gas Markets & Supply
Mr. Dowies is an energy marketing professional with thirty years
of successful leadership in the oil and gas industry. From 1986
to 1994, he served as Director de Fossil Fuels for Gulf States
Utilities Company, located in Beaumont, Texas, where he developed
fuel purchasing strategies, negotiated complex supply and
transportation contracts, implemented storage strategies and
supported rate cases before state regulatory commissions. He
founded Trebor Energy Resources, a successful natural gas
marketing company based in Houston, Texas, in 1994. He has
developed financial alliances with various energy merchants and
producers, developed and implemented marketing strategies,
designed and coordinated construction and implementation de a
natural gas gathering system. Mr. Dowies received a Bachelors of
Science degree in Business Administration from McNeese State
University in Lake Charles, Louisiana. He is also affiliated with
the National Energy Services Association.
